GoShopBlack Affiliate Program Terms of Service

These Affiliate Program Terms of Service (“Agreement”) govern participation in the GoShopBlack Affiliate Program (“Program”). By applying to or participating in the Program, you (“Affiliate”) agree to the terms below.

1. Program Overview

The GoShopBlack Affiliate Program allows approved affiliates to earn commissions by referring businesses to purchase GoShopBlack’s Paid Business Setup using a unique referral link provided through Tapfiliate.

Participation in the Program is subject to review and approval. GoShopBlack reserves the right to approve or reject any affiliate application at its sole discretion.

2. Commission Structure

Affiliates earn a fixed $20 commission for each completed Paid Business Setup purchase made through their unique referral link.

A commission is considered valid only when:

• The purchase is successfully completed
• Payment is successfully processed
• No refund, dispute, or chargeback occurs

• The transaction is properly tracked through GoShopBlack’s system

GoShopBlack may modify commission amounts, payout structures, or eligibility criteria at any time with reasonable notice.

3. Attribution & Tracking

Commissions are tracked using:

• Last-click attribution
• A 14-day cookie window

If a customer clicks multiple affiliate links prior to purchase, the most recent valid referral link will receive commission credit.

GoShopBlack is not responsible for lost commissions due to:

• Blocked cookies
• Ad blockers
• VPN usage
• Browser privacy settings
• Incorrect link usage
• Technical issues outside GoShopBlack’s control

GoShopBlack’s tracking data and attribution decisions are final.

4. Pending & Approval Period

• Commissions are initially marked as pending.
• Commissions are eligible for approval after 14 days, provided:
• The transaction has not been refunded
• No chargeback or dispute has occurred

• No policy violation is detected

Approved commissions are eligible for payout no earlier than 30 days after the qualifying transaction, subject to review.

5. Refunds, Chargebacks & Reversals

If a referred transaction results in:

• A refund
• A chargeback
• A payment dispute
• A reversal for any reason

The associated commission will be voided.

GoShopBlack reserves the right to reverse previously approved commissions if a transaction is later refunded, disputed, or determined to violate Program policies.

6. Prohibited Conduct

Affiliates may not:

• Earn commission on their own purchases
• Refer their own business
• Refer immediate household members for the purpose of earning commission
• Use misleading, false, or deceptive marketing
• Impersonate GoShopBlack
• Bid on GoShopBlack branded keywords in paid advertising without written permission
• Use unauthorized coupon codes
• Send spam or unsolicited bulk messages
• Generate artificial traffic, fake leads, or fraudulent conversions
• Manipulate tracking systems in any way

Violation of these rules may result in immediate termination and forfeiture of unpaid commissions.

7. Fraud & Abuse

GoShopBlack may withhold, deny, reverse, or permanently disqualify commissions in cases of:

• Fraud
• Coupon abuse
• Self-dealing
• Artificial traffic
• Duplicate submissions
• Misrepresentation
• Brand bidding violations
• Any attempt to manipulate or exploit the system

GoShopBlack reserves sole discretion in determining fraudulent or abusive behavior.

8. Payouts

Payouts are:

• Processed manually
• Issued on a schedule determined by GoShopBlack
• Subject to verification and approval

GoShopBlack may establish a minimum payout threshold at its discretion.

Affiliates are responsible for providing accurate payment information. GoShopBlack is not responsible for failed payments due to incorrect account details.

9. Independent Contractor Relationship

Affiliates are independent contractors.

Nothing in this Agreement creates:

• A partnership
• Joint venture
• Agency relationship
• Employment relationship
• Franchise relationship

Affiliates may not represent themselves as employees, representatives, or official spokespeople of GoShopBlack.

10. Intellectual Property & Brand Use

Affiliates may use GoShopBlack logos and marketing materials only as provided within the affiliate dashboard.

Affiliates may not:

• Alter brand assets
• Create misleading landing pages
• Register domains that resemble GoShopBlack
• Imply official partnership beyond affiliate participation

All brand rights remain the sole property of GoShopBlack.

11. Termination

GoShopBlack may suspend or terminate any affiliate account at any time, with or without cause.

Upon termination:

Unpaid commissions may be forfeited if policy violations are found

Access to affiliate tools will be revoked

Affiliates may terminate participation at any time by discontinuing use of referral links.

12. Program Modifications

GoShopBlack reserves the right to:

• Modify commission rates
• Change cookie duration
• Update payout timelines
• Revise Program terms
• Discontinue the Program

Continued participation after changes constitutes acceptance of updated terms.

13. Limitation of Liability

GoShopBlack shall not be liable for indirect, incidental, special, or consequential damages arising from participation in the Program.

Total liability shall not exceed unpaid commissions due to the Affiliate.

14. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Final Authority

GoShopBlack’s tracking records, fraud determinations, commission approvals, and policy enforcement decisions are final.
